Career Opportunity and Primary Roles / Responsibilities
Reporting to the Director of Administration the Contracts & Compliance Specialist is responsible for providing legal, regulatory, and compliance support to the organization. This role manages the review, editing, administration, and tracking of contracts and agreements while ensuring compliance with applicable legislation, laws, and corporate policies.
The Contracts & Compliance Specialist serves as a key resource in conducting legal research, coordinating compliance initiatives, and liaising with external legal counsel as required.
Key Responsibilities
Contracts & Legal Support
Review, negotiate, and administer a variety of contracts and legal agreements, including employment agreements, vendor contracts, service agreements, non-disclosure agreements, and consulting agreements.
Maintain the organization's contract management process, including renewals, amendments, expirations, and record retention.
Identify legal and commercial risks within contracts and recommend appropriate revisions.
Coordinate with external legal counsel on specialized legal matters and contract reviews as needed.
Maintain legal files, templates, and corporate documentation.
Compliance & Regulatory Affairs
Monitor compliance with applicable federal, provincial, and international legislation and regulations.
Support compliance with employment standards, and workplace regulations.
Coordinate compliance activities related to privacy legislation and data protection requirements.
Support export control compliance, including documentation and recordkeeping.
Assist in preparing for internal and external audits and regulatory reviews as needed.
Policy Development & Governance
Research legislative and regulatory changes and assess organizational impacts.
Draft, review, and update corporate policies, procedures, and governance documents.
Assist with improvements to internal controls and compliance processes.
Assist with risk assessments and compliance initiatives across the organization.
Required Competencies
Minimum 3–5 years of experience in contract management, compliance, or a related field.
Experience reviewing and administering commercial and employment-related contracts.
Experience supporting corporate compliance programs is preferred.
Knowledge of
Employment and labour legislation.
Privacy legislation and data protection requirements.
Contract law and contract administration principles.
Export control regulations (considered an asset).
Microsoft Office Suite and electronic contract/document management systems.
Skills & Competencies

Ability to interpret legislation and contractual language.
Exceptional written and verbal communication skills.
High level of integrity and discretion when handling confidential information.
Ability to manage multiple priorities in a fast-paced environment.

Sound judgment and attention to detail.
Needs to be fluently bilingual (English and French)
Miscellaneous Requirements
Work can be done remotely.
For employees based in Montreal, the work model is hybrid (at least one day at the office).
The position might require travel to visit customers (in North America)
Knowledge of English is required to communicate and work with customers outside the province of Quebec. / La connaissance de l'anglais est requise pour communiquer et travailler avec nos clients situés à l'extérieur de la province de Québec.
